1.Introduction

”FanRaizd is a pioneering platform designed to empower artists and fans alike by offering a unique approach to music ownership, rights distribution, and fan engagement. Our mission is to break down barriers within the music industry, enabling artists to connect with fans on a deeper level through shared ownership and innovative token-based interactions.

For artists, FanRaizd simplifies the complex world of music rights, allowing them to focus on their creativity while reaching audiences who are invested in their success. For fans, it’s an opportunity to not only support their favorite artists but also to hold a stake in the music they love.

Glad that you want to join us! These Terms of Service govern your use of fanraizd.com, our mobile, desktop applications and any coming future service, product or experience provided by FanRaizd (collectively, the “Platform”), and all related players, widgets, tools, features, programs, data, software, APIs (which may be subject to separate API Terms of Use), and other services provided by FanRaizd (the “Services”).

These Terms of Service, along with our  other policies and guidelines, constitute a legally binding agreement (the “Agreement”) between you (“you,” “your”) and FanRaizd in connection with your use of the Platform and Services.

Please also review our Privacy Policy and Cookie Policy to understand how we collect and use data related to Platform usage and performance, as well as our responsibilities and your rights concerning the processing of your personal information.

2. Acceptance of Terms of Service

Please read these Terms of Service, along with our Privacy Policy, Cookie Policy, and Community Guidelines, carefully. If you do not agree with any of the terms outlined in these documents, you should not use the Platform. By accessing or using the Platform, registering an account, or viewing, streaming, uploading, or downloading any information or content to or from the Platform, you confirm that you have read, understood, and agree to comply with these Terms of Service and Community Guidelines. You also confirm that you are either 18 years of age or older, or meet the legal age requirement in your jurisdiction. If you are under 18, you must be at least 16 years old if residing in the European Union or United Kingdom, or 13 years old if residing in the United States or elsewhere.

3. Modifications to Terms of Service

We reserve the right to modify, replace, or update these Terms of Service at any time, at our discretion, for reasons such as changes in laws or regulations or updates to the features available on the Platform. The date of the latest update is noted at the end of these Terms of Service. It is your responsibility to periodically review this page for any updates.

When significant changes are made to these Terms, we will notify you clearly and appropriately, which may include displaying a notice on the Platform and/or sending an email to the address you provided or a message to your FanRaizd account. The updated Terms of Service will take effect two (2) weeks after such notification.

While you are not obligated to continue using the Platform following any changes, if you do not close your account as described in the Termination section below during this two-week period, your continued use of the Platform after the end of this period will constitute acceptance of the revised Terms.

4. Your FanRaizd Account

Registration on the Platform is optional, but certain Apps and Services are only accessible to registered users. By creating an account, you can set up a public profile on FanRaizd to connect and interact with other fans and creators. To personalize your profile, you’ll need to provide the information you wish to display.

To enhance your experience, we offer personalized content recommendations to registered users. These recommendations are based on two main factors: your activities on the Platform (such as likes, comments, and listening habits) and similarities in the type of content you engage with (such as genre or track tempo). This data helps us provide tailored recommendations through features like “You might like this also” and “Artists to Connect with.”

When you create an account, you will need to provide a valid email address and choose a username and password. It’s your responsibility to keep your email address current. We handle your email and any other information you provide in line with our Privacy Policy.

You are responsible for keeping your username and password confidential and secure. All actions taken under your account, whether authorized by you or not, remain your responsibility.

If you believe your username or password has been compromised or that unauthorized access has occurred, please inform FanRaizd promptly in writing and change your password immediately.

FanRaizd reserves the right to restrict, suspend, remove, or reassign usernames and permalinks as necessary. We may also suspend or terminate your account, with or without notice, if we believe any activities on your account violate these Terms, our Community Guidelines, third-party rights, or applicable laws.

You may close your account at any time by following the steps outlined in the Termination section below.

5. Use the Platform

As long as you fully comply with these Terms of Service and our Community Guidelines, FanRaizd grants you a limited, personal, non-exclusive, revocable, and non-transferable license to access the Platform. This license allows you to view, listen to and share content made available on the Platform, provided the uploader has enabled these options and the content is available in your region.

If you have registered for an account, this license also allows you to:

  1. Upload, post, and make your own content accessible on the Platform in line with these Terms and any other applicable guidelines;
  2. Participate in community areas and interact with other users, provided your engagement aligns with our Community Guidelines; and
  3. Use the Platform’s features and services as permitted by these Terms.

This license is conditional on your full compliance with these Terms and the Community Guidelines, including the following requirements:

  1. You may not alter, republish, share, or otherwise make any Platform content publicly available, except:
    • If the content is your own; or
    • When permitted by these Terms, within the usage rights set by the uploader.
  2. Do not use any Platform content (aside from your own) to create or support another content service or to mimic the Platform’s services.
  3. Scraping or using similar methods to collect, republish, or reuse Platform content is prohibited.
  4. Automated methods (like bots, scripts, or plugins) used to artificially boost interactions (e.g., likes, plays, or followers) on your or others' content are not allowed. Offering such tools or services to other users is also prohibited.
  5. Do not modify, remove, or tamper with any trademarks, copyrights, or other legal notices displayed on the Platform or its content (excluding your own content).
  6. Reverse engineering, decompiling, or attempting to access the Platform’s source code, including bypassing copyright protections or other security measures, is strictly prohibited.
  7. You may not use the Platform to upload, publish, or share:
    • Content that violates our Community Guidelines, including hate speech or extremist material;
    • Material that infringes on third-party rights, such as copyright or privacy;
    • Content that is illegal or deemed inappropriate by FanRaizd;
    • Malicious files (e.g., viruses or spyware) or any material that could interfere with the Platform’s functionality or other users' experiences.
    • Engage in any fraudulent streaming activites either in our Platform or our partners.
  8. Refrain from engaging in behavior that could be considered unlawful, such as promoting illegal activities.
  9. You are not permitted to rent, sell, or lease access to the Platform or its content, although you may share links to authorized sites where your content can be purchased.
  10. Impersonating others or misrepresenting your identity, including using generative AI to replicate someone’s voice or likeness, is strictly prohibited.
  11. Harassment, threats, or abusive behavior directed at other users or FanRaizd employees are not tolerated.
  12. Using or attempting to use another person’s account or login information without permission is prohibited.
  13. Selling or transferring a FanRaizd account to a third party without FanRaizd’s written approval is not allowed.
  14. Collecting or attempting to collect other users' personal data or information through unauthorized methods (e.g., spidering or scraping) is forbidden.
  15. Attempting to breach or bypass Platform security, access unauthorized data, or disrupt Platform operations in any way is strictly forbidden. FanRaizd reserves the right to investigate and report any such activity to law enforcement.
  16. Creating accounts or uploading content designed to impersonate others, including using generative AI to mimic someone’s identity or likeness without permission, is prohibited.
  17. Accounts created with the sole purpose of commercializing actions (e.g., generating likes or plays) are not permitted.

By using the Platform, you agree to comply with these terms at all times. If you violate these or any other terms of service, FanRaizd reserves the right to suspend or terminate your account or take other appropriate action and fees, including reporting violations to relevant authorities.

6. Your Content

All content that you upload to the Platform remains solely owned and controlled by you, not by FanRaizd.

FanRaizd does not claim ownership of your content; you retain full responsibility for it.

In accordance with the “Use of Platform” section, you may not upload, store, distribute, send, display, perform, or make available any content to the public if you do not have the necessary rights to do so. Unauthorized use of copyrighted materials in your content, even if the use becomes unauthorized at a later date, is strictly prohibited and constitutes a violation of third-party rights. Such infringement may lead to termination of your access to the Platform as outlined in our Content Moderation Policy, as well as potential civil or criminal legal actions by the rightful owner.

Not all uses of copyrighted works are necessarily infringing. Exceptions exist in various jurisdictions and may be used by users on the Platform where applicable. In the EU, examples of exceptions include quotation, criticism, review, and use for caricature, parody, or pastiche.

From time to time, we may invite or offer you a way to provide feedback on the Platform. All feedback you submit will be considered non-confidential, and FanRaizd may use this feedback on an unrestricted basis, although we are not obligated to do so.

7. Representations and Warranties

By using the Platform, you represent and warrant to FanRaizd that:

  1. Your content is entirely your original work, or you have obtained all necessary rights, licenses, permissions, and consents to use it for the duration required and to grant FanRaizd the right to use your content as outlined in these Terms of Service. This includes, but is not limited to, the right to upload, reproduce, store, transmit, distribute, share, publicly display, perform, make available (including for offline listening), and otherwise communicate your content, in whole or in part, on the Platform, through our Services, and on any Linked Services.
  2. Your content, and its availability on the Platform, does not infringe upon or violate any third-party rights, including, without limitation, intellectual property rights, artist rights, privacy or publicity rights, or rights to confidential information.
  3. You have obtained all necessary permissions, approvals, or consents from any individuals featured in your content to include their names, voices, performances, or images, and to publish this content on the Platform and through Linked Services.
  4. Your content, including any comments you post on the Platform, complies with the requirements outlined in the “Use of Platform” section above and does not contain any content prohibited under these Terms of Service.
  5. Your content does not and will not create any liability for FanRaizd, its subsidiaries, affiliates, successors, assigns, or their employees, agents, directors, officers, or shareholders.

FanRaizd reserves the right to remove your content, suspend or terminate your access to the Platform, and/or take legal action if we determine that any of your content violates the above representations and warranties, infringes on another person’s rights, or breaches any laws, rules, or regulations.

8. Content Responsibility

FanRaizd serves as a platform for users to upload, store,share, and interact with their content at their discretion. We provide storage and hosting services as a neutral platform and do not fully monitor or fully control the content users upload. As such, FanRaizd is not aware of all specifics of your content, and you bear full responsibility for any content you upload, post, or distribute on or through the Platform. FanRaizd disclaims any liability related to user content (including your content) and user activities to the fullest extent permitted by law.

FanRaizd does occasionally review content uploaded by users, however, FanRaizd, its affiliates, successors, assigns, employees, agents, directors, officers, or shareholders are not obligated to monitor the Platform.

FanRaizd, along with its affiliates, successors, assigns, employees, agents, directors, officers, and shareholders, disclaims, to the extent permitted by law, any liability related to content uploaded by users. This includes, but is not limited to, claims of intellectual property infringement, privacy or publicity rights violations, claims related to offensive, defamatory, pornographic, or obscene material, and claims regarding the accuracy, completeness, validity, or reliability of any information provided by users on the Platform. By using the Platform, you waive any right to bring claims related to these matters against FanRaizd or its affiliates, successors, assigns, employees, agents, directors, officers, or shareholders.

9. Reporting Violations

If you identify any content on the Platform that you believe infringes on your copyright, please report it through one of the methods provided below or on our Infringement claim page.

For content that may violate these Terms of Service, our Community Guidelines, or applicable laws, please report it to us using the options detailed in our Content Moderation and Action Policy.

When you report content, FanRaizd may, as permitted by applicable law, review your content and activity on the Platform as needed to enforce these Terms of Service, uphold FanRaizd’s Community Guidelines, and fulfill any legal obligations.

10. Reporting Copyright Infringement

If you come across a track on FanRaizd that you believe infringes your copyright, you can let us know using our infringement claim link on our webpage. Before submitting a claim, please keep the following in mind:

  • These methods are strictly for reporting copyright issues.
  • Only submit copyright claims for works you own or represent. If you believe another person’s rights are being violated, direct them to this page to report it themselves.
  • Report only valid claims. Filing a false or malicious claim could result in account suspension and may make you liable for damages (including any costs or legal fees incurred by FanRaizd, the uploader, and/or any affected copyright owner or authorized licensee).

To help us process your report as quickly as possible, please include detailed information.

How to Report Copyright Infringement on FanRaizd

Submit a copyright report directly through our online helpdesk for the fastest response.

Please include:

  • A statement that you’ve identified tracks on FanRaizd that you believe infringe on your copyright or the copyright of someone you’re authorized to represent.
  • A description of the copyrighted work(s) involved.
  • Details about the infringing audio, including the FanRaizd URLs where such tracks are located.
  • Your full name, address, phone number, a valid email address, and, if applicable, your FanRaizd username.
  • A confirmation of your good-faith belief that the use of the material in question is unauthorized.
  • A statement affirming that your report is accurate and that you are authorized to act on behalf of the copyright owner.

11. Content Restrictions

FanRaizd reserves the right to block, remove, delete, or restrict access to any content at any time without liability. This includes, but is not limited to, situations where content may infringe on third-party rights, has been uploaded or shared in violation of these Terms of Service, our Community Guidelines, or applicable laws, or is deemed inappropriate by FanRaizd. If we remove or restrict access to your content, we will inform you of the reason where legally required.

Individual uploaders have control over the audio content they store on their accounts and may remove content at any time without notice. You do not have a right to continued access to any content on the Platform, and FanRaizd is not liable if you are unable to access content that has been removed, whether by FanRaizd or by the original uploader.

If we receive a valid notice from a third party through our reporting processes or as required by law indicating that your content infringes on their copyright or other rights, or if we determine that your actions violate our Terms of Service, Community Guidelines, or applicable law, we may issue a formal warning or, depending on the severity, suspend or terminator your account.

12. Repeated Violations

FanRaizd may suspend or permanently restrict your access to the Platform if we determine, based on reasonable judgment or legal requirements, that you have repeatedly breached these Terms of Service or our Community Guidelines. This may include instances where your content has been found to repeatedly violate our policies.

In evaluating any violations, and in deciding on an appropriate response (such as the duration of a suspension), we take into account the nature, frequency, severity, and overall impact of any breaches, as well as the types of content involved.

13. Distribution and Sales                    


13.1

FanRaizd set out below the terms upon which you (the undersigned/ FanRaizd user ) authorise FanRaizd on an exclusive basis during the Term and in the Territory to and authorise FanRazid's carefully selected partners to distribute and/or make available (by resale, subscription, revenue share, or other financial model existing today or in future) by digital “on line” means via digital telephony or via third party online or telephony sites (“Sites”) (including but not limited to iTunes) download and/or streamed reproductions (with or without accompanying artwork) of the audio and audio visual recordings set out in the First Release together with those audio and audio visual recordings which you own and/or control during the Term (“eMasters”) together with information (“Metadata”) relating to such eMasters. 

13.2

In the event eMasters will be distributed or licensed to other third parties, FanRaizd has the right to "take down" of such eMaster. The undersigned also ensures that all material being submitted to FanRaizd Service is fully cleared with rightholder's and/or any other party who have a legal interest in material submitted to FanRaizd service. On those occasions where an dispute may arise or potential third party claim. FanRaizd is not liable and have the right to handle either by "take down" or any other means necessary until dispute is resolved.

13.3

The Term (period) starts from first upload of eMaster to FanRaizd service. Definition of Territory is the World meaning all countries FanRaizd is active today and in the future.

13.4

Member shall upload eMasters, Metadata (including artwork) and (to the extent available) photographs and promotional materials for use in promoting the eMasters and any other materials via your FanRaizd login account on the FanRaizd Platform. The details in the Metadata will include the authors and composers of the musical compositions and performers embodied on the eMasters and details of music publishers (if any). You will provide to us artwork and (to the extent available) photographs and promotional material for use in promoting the eMasters. You authorise us to obtain for and assign to the eMasters ISRC and EAN/UPC-A codes. We shall be responsible at our cost for encoding eMasters into appropriate formats for electronic or other delivery to third party Sites. We reserve the right not to include or submit any eMaster Metadata or any other materials to any Sites that we reasonably believe may for technical reasons not meet the required specs or for legal reasons be unlawful or give rise to potential third party claims. In addition we reserve the subsequent right to withdraw (permanently or temporarily) eMasters Metadata or any other materials from any Sites which we reasonably believe are subject to or may give rise to third party claims. Under no circumstances shall we be held liable or responsible in respect of any eMaster Metadata or any other materials submitted by you and which we have included or submitted to any Sites whether we have acted or not upon such reserved rights. You warrant that you have the right to enter into this Agreement and to grant the rights to the eMasters Metadata artwork and other materials supplied by you which you warrant do not and will not infringe the rights of any third parties and you indemnify us against any costs, claims or damages from any third parties arising from their use hereunder. 

13.5

We will be entitled to use and authorise the use of artwork and streamed clips (for such duration as is customarily required by the Sites) together with the name likeness and biography of artist’s producers etc for the purpose of review and compiling news information discographies profiles and similar ancillary promotional purposes required by Sites.

13.6

FanRaizd's current standard price is 4 Euro/Month (ink VAT) miminum of 12 months and will be paid in one time. Relevant monies are received accompanied by a statement showing the source of payment and paid out directly to your FanRaizd account. You might be entitled to audit our books and records of account to verify sums due to you if we approve such activity, but audit will be limited to once per year and only within two years of the date the statement was rendered. An audit comes with a FanRaizd charge for resources applied to provide for any type of information. Please contact FanRaizd for current fees..  

13.7

FanRaizd will pay Member one hundred percent (100%) of Net Income from our aggregated services and after bank charges, net income defined as FaRaizd's actual receipts from Consumer Stores (e.g DSP like Spotify, Itunes, Google Play) less any tax, fee or other charge related to the Sale of your Recordings. Any objection and queries concerning to any accounting statement or any lawsuit arising therefrom must be made (and any lawsuit commenced) no later than one (1) year after the date the statement is rendered, and you hereby waive any longer statute of limitations that may be permitted by law. All Financial Reporting regarding Royalties due will be available under My Profile and in a timely fashion. Once payment has been credited to your account, you will be able to withdraw all or any portion at your discretion. You will be responsible for any bank fees or other charges related to such withdrawals.

13.8

For clarification, FanRaizd will until further notice only distribute and pay out royalty for Sound Recording rights and only from Digital Sales and from original uploaded songs. By signing this Terms & Conditions, member grants FanRaizd to also collect royalties for other income streams, both existing today and in the future, including all other Rights for Sound Recording and Publishing, such as Mechanical, Performance and Synch, BUT ONLY if member is not already signed and have entered legal agreement for additional FanRaizd Services. 13.9

You also approve and comply that Emaster and all MetaData connected to Emaster uploaded in FanRaizd service will be splitted in 1.000 tokens. To Clarify, to fully own a Emaster, all 1.000 tokens need to be owned to obtain full control over work. FanRaizd facilitate the transaction for a small fee of 2% of purchase price and do not set any prices or set number of shares for sale or purchase for a specific token or track. The community and members in community determines the market and the risk that may arise with these transactions. 

14. Payment Methods and Payout Methods

14.1

When you add a Payment Method or Payout Method to your FanRaizd Account, you will be asked to provide customary billing information such as name, billing address, and financial instrument information either to FanRaizd Payments or its third-party payment processor(s). You must provide accurate, current, and complete information when adding a Payment Method or Payout Method, and it is your obligation to keep your Payment Method and Payout Method up-to-date at all times. The information required for Payout Methods will include:

for PayPal, your address, email address, and payout currency;

for Credit or Debet Cards, standard information for those transactions.

for future payment Methods, standard information for those type of transactions

14.5

When you add or use a new Payment Method, FanRaizd Payments may verify the Payment Method by authorizing a nominal amount, not to exceed one dollar ($1), or a similar sum in the Payment Method’s local currency (e.g., one euro or one British pound). For further verification, we may also (i) authorize your Payment Method for one or two additional nominal amounts, each not to exceed two dollars ($2) or a similar sum in the Payment Method’s local currency (e.g., two euros or two British pounds), and ask you to confirm these amounts, or (ii) require you to upload a billing statement. When you add a Payment Method during checkout, we will automatically save that Payment Method to your FanRaizd Account so it can be used for a future transaction.

14.6

To verify your Payout Method, FanRaizd Payments may send one or more payments of nominal amounts to your Payout Method. We may, and retain the right to, initiate refunds of these amounts from your Payout Method.

14.7

Please note that Payment Methods and Payout Methods may involve the use of third-party payment service providers. These service providers may charge you additional fees when processing payments and Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and FanRaizd Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method or Payout Method may also be subject to additional terms and conditions imposed by the applicable third-party payment service provider; please review these terms and conditions before using your Payment Method or Payout Method.

14.8

You authorize FanRaizd Payments to store your Payment Method information and charge your Payment Method as outlined in these Payments Terms. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date) as a result of re-issuance or otherwise, we may acquire that information from our financial services partner or your bank and update your Payment Method on file in your FanRaizd Account.

14.9

You are solely responsible for the accuracy and completeness of your Payment Method and Payout Method information. FanRaizd Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method or Payout Method information provided by you.

15. Financial Terms for Members

15.1

In order to receive a Payout you must have a valid Payout Method linked to your FanRaizd Account. FanRaizd Payments will generally initiate Payouts to your selected Payout Method: (i) for royalties from DSP within 120 hours of the after royalty statement - royalty due with 3 months ledtime, if all data from third party is submitted); (ii) for Gamification and FanRaizd memberpool within 120 hours of the closing of the Gamification or FandRaizd Pool. In certain jurisdictions or instances, FanRaizd Payments may offer you a different time or trigger for payment. The time it takes to receive Payouts once released by FanRaizd Payments may depend upon the Payout Method you select. FanRaizd Payments may delay or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or investigation. Payout will be made to FanRaizd account. For further transfer to collect earned royalties, any fees connected to transfer to personal bankaccount, Paypal or any other billing method.

15.2

FanRaizd standard currency for Payments are Euro. Any costs connected to tranfering money from FanRaizd to other accounts will be covered by FanRaizd Member.

15.3

For compliance or operational reasons, FanRaizd Payments may limit the value of each individual Payout. If you are due an amount above that limit, FanRaizd may initiate a series of Payouts (potentially over multiple days) in order to provide your full payout amount.

15.4

If you owe any amount to FanRaizd (e.g., as a result of not paying member fee in time), you authorize FanRaizd Payments to collect these amounts from you by withholding the amounts from your future Payouts and/or charging any Payment Method on file in your FanRaizd Account. Any funds collected by FanRaizd Payments will setoff the amount owed by you to FanRaizd and extinguish your obligation to FanRaizd. In addition to the amount due, if there are delinquent amounts or chargebacks associated with your Payment Method, you may be charged fees that are incidental to our collection of these delinquent amounts and chargebacks. Such fees or charges may include collection fees, convenience fees or other third-party charges.

16. Gamification

All FanRaizd members and uploaded songs are automatically granted the possibility to all gamification activites issued from FanRaizd platform in all countries where FanRaizd is represented. All data, statistics, decisions regarding any activity rising from gamificiation is within FanRaizd scope and any claims/queries rising from the gamification service is not subjected to appeal. FanRaizd use third-parties data to determine outcome of gamification acitivites. FanRaizd is not liable for any data with discrepancy or inaccuracy coming from third-parties. The genereal policies for the FanRaizd gamification pool is that no less than 70% of an gamification activity (less taxes) is reserved for community.

17. FanRaizd Member pool

FanRaizd members comply that the amount of money being reserved for FanRaizd member pool and distribution of income is not fixed and subject to change without any approval. What type of revenue this FanRaizd Member pool consists of could be any type of revenue which helps users to gain additional royalties to users normal ”streaming royalties”. These type of additional revenue streams can be revenues existing today or in the future. What, when and how these additional revenue streams will be distributed is decided by FanRaizd. It also means FanRaizd have the right to not pay out royalties if the action is not in line with the companies long term survival or will not benefit the FanRaizd Community. The genereal policies for the FanRaizd member pool is that no less than 60% of potential new and extra revenue stream (less taxes) is reserved for community.

18. General Financial Terms

18.1

We will take steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the same Payout Method or Payment Method used for the original Payout to or payment by you, so that you end up receiving or paying the correct amount.

18.2

If FanRaizd Payments is unable to collect any amounts you owe under these Payments Terms, FanRaizd Payments may engage in collection efforts to recover such amounts from you. FanRaizd Payments will deem any owed amounts overdue when: (a) for authorized charges, ninety (60) days have elapsed after FanRaizd Payments first attempts to charge the Member’s Payment Method or the associated services have been provided, whichever is later; and. Any overdue amounts not collected within one hundred and eighty (180) days after they become overdue will be deemed to be in default. You hereby explicitly agree that all communication in relation to amounts owed will be made by electronic mail or by phone, as provided to FanRaizd and/or FanRaizd Payments by you. Such communication may be made by FanRaizd, FanRaizd Payments, or by anyone on their behalf, including but not limited to a third-party collection agent.

18.3

FanRaizd members may be required by law to report and remit income details to governmental agencies, and other similar municipal, state, federal and national indirect or other withholding and personal or corporate income taxes. In those event FanRaizd responsibility is limited and only to providing current and accurate data which could retrieved from FanRaizd service. All reporting and contact with governmental agencies, of any kind, is every FanRaizd members responsibility. 

18.4

If FanRaizd, in its good faith discretion, reason to suspect that your account has been subjected to and/or involved in fraudulent or infringing activities, FanRaizd reserves the right to discontinue the posting of Net Income to your account and block your ability to otherwise withdraw funds therefrom until resolution of the suspect activities to the satisfaction of FanRaizd is obtained. Furthermore, you agree that such revenues will be forfeited by you if FanRaizd determines, in its good faith discretion, that they are the result of fraud and/or infringement. To the extent that any fraudulent and/or infringing activities are determined to be caused by your or your affiliates actions or omissions, any costs incurred by FanRaizd (including legal fees and expenses) in connection therewith may, in addition to its other remedies, be deducted by FanRaizd from any monies otherwise payable to you hereunder. Certain Consumer Stores may also have policies related to fraud and suspected fraudulent activities and you agree that it is your responsibility to investigate such policies, if any, and such policies shall be binding upon you hereunder.

19. Disclaimer of Warranties

The Platform—including the website, apps, all accessible content, and services—is provided strictly “as is,” “as available,” and “with all faults.”

While FanRaizd aims to address errors or issues on the Platform as promptly as possible, we make no guarantees of any kind regarding the website, apps, services, content, or any linked services. FanRaizd does not promise that your use of the Platform will be uninterrupted, timely, secure, or error-free; that any issues will be corrected; or that the Platform, its content, or servers are free of viruses or harmful components. We cannot ensure that any content uploaded to the Platform will be secure or that any features intended to prevent unauthorized access or sharing of content will always function as expected. Additionally, we do not guarantee that using the Platform is lawful in every jurisdiction.

To the fullest extent permitted by law, FanRaizd, along with our affiliates, subsidiaries, successors, assigns, employees, agents, directors, officers, and shareholders, explicitly disclaims all warranties not expressly stated in these Terms. This includes all implied warranties of non-infringement, merchantability, and fitness for a particular purpose.

If applicable law in your jurisdiction restricts or prohibits disclaimers of certain warranties, these disclaimers will apply to you only to the extent permitted by such laws.

20. Limitation of Liability

FanRaizd’s total liability to you under this agreement will not exceed €100 or the amount you have paid to FanRaizd over the past twelve (12) months for the services related to your claim, whichever is greater.

FanRaizd, along with its affiliates, subsidiaries, successors, and assigns, as well as their respective employees, agents, directors, officers, and shareholders, is not responsible for:

  1. Losses or damages resulting from:
    • (a) your inability to access or use the Platform, any part of it, or any content or services available through it;
    • (b) modifications or changes that FanRaizd makes to the Platform, including any temporary or permanent suspension of services, content, or access in any location;
    • (c) any claims by third-party rights holders regarding alleged infringement of their rights by your content or activity on the Platform, or actions taken as part of investigations by FanRaizd or law enforcement;
    • (d) technical issues on the Platform, errors or inaccuracies in any content, or problems with how the Platform functions;
    • (e) your failure to provide complete and accurate information or to maintain the confidentiality of your username and password; and
    • (f) inappropriate conduct by other users or third parties on the Platform, especially if it breaches these Terms.
  2. Loss or damage to your devices, software, or data (including your content), security breaches, or lost profits or other unforeseeable losses caused by any breach of these Terms. Losses are only considered foreseeable if they were reasonably predictable by both you and FanRaizd when you accepted these Terms; indirect losses, such as lost opportunities, are not included.

Any claims or causes of action related to your use of the Platform must be reported to FanRaizd as soon as possible.

Depending on your jurisdiction, some laws may not permit certain limitations or exclusions of liability, meaning the above limitations may not apply to you. In such cases, you acknowledge that these limitations represent a reasonable allocation of risk between you and FanRaizd, and they form a fundamental part of our agreement. FanRaizd’s liability will be limited to the fullest extent allowed by law.

Nothing in these Terms limits or excludes FanRaizd’s liability, or that of its affiliates, successors, assigns, or their employees, agents, directors, officers, or shareholders, for (i) death or personal injury caused by negligence, (ii) fraud or fraudulent misrepresentation, (iii) willful misconduct or gross negligence, or (iv) any other liability that cannot be excluded or limited by law.

21. Data Protection, Privacy, and Cookies

Any personal information you provide to us while using the Platform is collected, stored, used, disclosed, and processed by FanRaizd in line with our Privacy Policy. Like most online services, we also use cookies to help us understand how users interact with the Platform, enabling us to continually improve the experience we offer. Details about our use of cookies, as well as instructions on how to disable them, can be found in our Cookie Policy.

22. Changes to the Platform, Accounts, and Pricing

FanRaizd reserves the right to temporarily or permanently suspend, discontinue, or limit access to the Platform or any part of it at any time and for any reason, either entirely or within specific regions. In cases of suspension, discontinuation, or restricted access, FanRaizd will make reasonable efforts to notify registered users in advance.

You agree that FanRaizd, along with its affiliates, subsidiaries, successors, assigns, employees, agents, directors, officers, and shareholders, will not be liable to you or any third party for any changes or modifications to the Platform, Apps, or Services, or for any decision to suspend, discontinue, or restrict access to these services from or within certain regions.

FanRaizd may also modify account features, withdraw or introduce new products, services, or account types, and update pricing for Subscriptions at any time. If we increase pricing or make significant changes to the features of any Subscription you’ve purchased, we’ll notify you in advance, and changes will apply only to the renewal of your subscription. In all other cases, if we make material changes to your Subscription that may negatively impact you, we’ll provide notice of these changes to your FanRaizd account or to your registered email at least six (6) weeks in advance. You’re not required to continue using the Platform following such a notice, but if you do not cancel your account as described in the Termination section below within the six-week period, your continued use will signify acceptance of the changes to your Subscription.

23. Termination

You may terminate this Agreement at any time by providing written notice to FanRaizd at info@fanraizd.com. To confirm your termination, delete all content from your account or delete your account and stop using the Platform. If you have an active subscription and terminate this Agreement before it expires, no refund will be provided for any unused period.

FanRaizd may suspend your access to the Platform and/or terminate this Agreement at any time if: (i) you are found to repeatedly violate these Terms as described above, (ii) you breach any key provisions of these Terms or our Community Guidelines, including those in sections such as “Use of the Platform,” “Your Content,” ,” and “Your Representations and Warranties,” (iii) FanRaizd chooses, at its discretion, to discontinue access to the Platform in the jurisdiction where you reside or access the Platform, or (iv) in other reasonable circumstances as determined by FanRaizd. If your account is suspended or terminated under (i) or (ii) above, you will not be entitled to a refund for any unused subscription period. In cases of termination under (iii) or (iv), refunds may be considered at FanRaizd’s discretion.

Once your account is terminated, all content on your account, including data related to its distribution or engagement, will be permanently deleted by FanRaizd, unless we are required or permitted to retain certain content or information for a limited period under applicable laws, regulations, or to protect our legitimate business interests. We recommend that you save or back up any content you have uploaded before terminating your account, as FanRaizd will not be responsible for any material permanently deleted after termination. FanRaizd is unable to provide .csv files or other similar records related to your account activity, either before or after termination. Such information is only available for viewing through your account page on the Platform while the account is active.

If you access the Platform via any of our apps or a third-party app linked to your account, removing the app will not delete your account. To delete your account, go to the Account page under Settings on the Platform.

Provisions of these Terms that are intended to remain in effect after termination, such as sections titled “Your FanRaizd Account,” “Your Content,” “License Grant,” “Representations and Warranties,” “Responsibility for Content,” “Disclaimer of Warranties,” “Limitation of Liability,” “Indemnification,” “Termination and Right to Terminate,” “Assignment,” “Severability,” “Entire Agreement,” and “Governing Law and Jurisdiction,” will survive the termination of this Agreement.

24. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be considered separable and will not impact the validity or enforceability of the remaining Terms, which will remain in full effect.

25.Governing Law and Jurisdiction

Unless otherwise agreed:

  1. This Agreement will be governed by the laws of the Judicial system of Sweden.
  2. You and FanRaizd agree to submit to the exclusive jurisdiction of the courts in Stockholm, Sweden, for the resolution of any disputes, claims, or legal proceedings arising from this Agreement.

The above provisions in this section do not apply to claims in which FanRaizd seeks equitable relief. You acknowledge that, in the event of a breach of this Agreement by FanRaizd or any third party, you will not be entitled to seek an injunction or other equitable relief against FanRaizd, including with respect to your Content. Your sole remedy will be monetary damages, subject to the liability limitations set out in these Terms.
